2. Intellectual Property Rights
Our Intellectual Property
Unless otherwise stated, Tennis Rhode Island LLC owns the intellectual property rights for all material on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software. These materials are protected by copyright, trademark, and other intellectual property laws.
Client Intellectual Property
All pre-existing intellectual property belonging to the client shall remain the sole property of the client. Any intellectual property developed specifically for the client under a Service Agreement shall be governed by the terms of that agreement.
License to Use
Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal and non-commercial use.
3. User Representations and Warranties
By using the Site or our services, you represent and warrant that:
- You are at least 18 years of age or the age of legal majority in your jurisdiction
- You have the legal capacity and authority to enter into these Terms
- All information you provide is accurate, current, and complete
- Your use of the Site and services will not violate any applicable law or regulation
4. Prohibited Activities

6. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Tennis Rhode Island LLC, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Site or services
- Any conduct or content of any third party on the Site
- Any content obtained from the Site
- Unauthorized access, use, or alteration of your transmissions or content
Our total liability to you for all claims arising from or relating to these Terms or your use of the Site and services shall not exceed the amount you paid to the Company, if any, during the twelve (12) months preceding the event giving rise to liability.
7. Indemnification
You agree to defend, indemnify, and hold harmless Tennis Rhode Island LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Site and services, your violation of these Terms, or your violation of any rights of another.
8. Termination
We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
9. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Rhode Island, without regard to its conflict of law provisions. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Providence County, Rhode Island.
Before filing any claim, the parties agree to attempt to resolve disputes informally through good faith negotiations. If the dispute cannot be resolved informally within thirty (30) days, either party may initiate formal proceedings.
10. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Site after those revisions become effective, you agree to be bound by the revised Terms.
11. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
12. Waiver

These Terms, together with any separate Service Agreement, Non-Disclosure Agreement, or other written agreement between you and the Company, constitute the entire agreement between you and Tennis Rhode Island LLC regarding the use of the Site and services, superseding any prior agreements between you and us.
